1. Agreement

Please read these Terms & Conditions of Use (the “Agreement”) carefully before using merciaresearch.lab (the “Site”) or buying any product offered on it. By using the Site you agree to this Agreement. If you do not agree, please exit and do not use the Site.

Mercia Research Limited (“Mercia Research”, “we”, “us”, “our”) reserves the right to change this Agreement, in whole or in part, at any time without prior notice. You should review this page before each use of the Site.

2. Products and intended use

Goods are sold for collaborative laboratory research purposes. The material we supply is 100% synthetic, non-infectious, non-toxic, non-pathogenic, and is not an immunogen. It is intended for in-vitro use only. The material will not be used for human or animal consumption and is strictly for academic and commercial laboratory research purposes. Our products do not contain animal or cell-culture-derived additives such as albumin or serum.

The listing of a material on the Site does not constitute a license to, or a recommendation for, its use in infringement of any patent.

3. Your use of the Site

Your use of the Site is governed by this Agreement and our Privacy Policy, which is incorporated by reference. In using this Site, you are prohibited from modifying, distributing, transmitting, reproducing, publishing, licensing, transferring, or selling any information, products, or services obtained or viewed on this Site, except that you may display, download, or print material for your own personal, non-commercial use provided you do not modify content or remove copyright or trade-mark notices.

4. Information on the Site

Information available from this Site is provided for general informational purposes and must not be used as a substitute for advice from qualified medical professionals. Information available on this Site is not intended to diagnose, treat, cure, or prevent any medical condition or disease. Products sold on this Site are for research purposes only. We reserve the right to correct any inaccuracies or typographical errors and to change or update prices and availability without notice.

5. No advice

The content of the Site is for informational purposes only and is not intended to provide specific advice. You should not act or rely on the content without seeking the advice of an appropriate professional. We do not provide reconstitution guidelines, dosing guidance, or any clinical recommendations. If you ask us for such information we will decline to provide it.

6. Trademarks and intellectual property

“Mercia Research” and the Mercia Research shield logo are trade marks of Mercia Research Limited. All text, graphics, user interfaces, photographs, trademarks, logos, computer code, and other content on this Site (collectively, the “Content”), including the design, structure, selection, coordination, expression, “look and feel” and arrangement of such Content, are owned, controlled, or licensed by Mercia Research and are protected by copyright, trade-mark, and other intellectual-property laws.

Except as expressly provided in this Agreement, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including by mirroring) to any other computer, server, website, or other medium, for publication or distribution or for any commercial enterprise, without our prior written consent.

7. Indemnity

You agree to indemnify and hold Mercia Research, its officers, directors, employees, agents, and partners harmless from any claim, loss, expense, or demand, including reasonable legal fees, arising out of or relating to your use of the Site, your violation of this Agreement, your violation of any rights of another, or any improper use of products you purchase from us.

8. External links and software

Links to or from sites outside this Site are provided for convenience only. We do not review, endorse, or control such sites and are not responsible for their content. Linking is at your sole risk. Any downloaded software is governed by the terms of its own licence; we are not responsible for difficulties associated with downloading or using it.

9. Availability of the Site

The Site is generally available 24 hours a day, 7 days a week, 365 days a year, but we retain the right to make the Site unavailable at any time, for any reason, and for any length of time. We are not liable for any damages arising from such interruption, suspension, or termination of the Site or of any service or product.

10. Submissions

Except for personal data collected in accordance with our Privacy Policy, any comment, idea, or suggestion you communicate to us through the Site becomes our property. You grant us a royalty-free, perpetual, irrevocable, worldwide, non-exclusive licence to use or reproduce such communications for any lawful purpose without any obligation to compensate you.

11. Disclaimer of warranties

The Site and the Content are provided on an “as is” and “as available” basis without warranty of any kind, whether express, implied or statutory. We expressly disclaim liability for technical failures, incomplete or delayed transmissions, technical inaccuracies, and unauthorised access by third parties. We do not warrant that the Site or the server that makes it available are free of viruses or other harmful components.

To the fullest extent not precluded by applicable law, Mercia Research, its advisors, suppliers, consultants, directors, and employees disclaim all warranties as to all Content, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Content is accurate, complete, or current. Prices and availability are subject to change without notice.

By your use of this Site you acknowledge that such use is at your sole risk, including responsibility for all costs associated with all necessary servicing or repair of equipment you use in connection with this Site.

12. Limitation of liability

As partial consideration for your access to this Site and use of its Content, you agree that Mercia Research is not liable to you for decisions you may make or actions you take or fail to take in reliance on the Content. You also agree that the aggregate liability of Mercia Research arising from or related to your use of the Site, regardless of the form of action (contract, warranty, tort, negligence, strict liability, professional malpractice, fraud, or otherwise), is limited to the purchase price of the items you purchased from us in the applicable transaction.

Mercia Research shall not in any case be liable for any indirect, special, incidental, consequential, or punitive damages, even if advised of the possibility of such damages. If you are dissatisfied with this Site, your sole and exclusive remedy is to discontinue using it. Because some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, this limitation may not apply to you. Nothing in this Agreement limits or excludes liability that cannot be limited or excluded under UK law (including for death or personal injury caused by negligence, or for fraud).

13. Returns and refunds

Due to the research nature and temperature-sensitivity of our products, we accept returns only for defective items. If you receive a defective product, contact support@merciaresearch.lab within 48 hours of delivery to arrange a refund or exchange. We also accept exchanges for products damaged in transit.

A parcel returned to us by the courier due to non-delivery, incorrect address formatting, or delivery refusal will need to be received back at our facility before a refund or replacement can be issued. This applies even where the customer did not personally initiate the return.

Refunds will be made if a parcel goes missing in transit, or if a client requests cancellation before the order is dispatched. By clicking “Place order” at checkout, you agree to this Returns and Refunds Policy.

14. Uses, patents, and customer warranties

The materials for sale are intended for laboratory and manufacturing research use only. They are not for use as food additives, drugs, cosmetics, household chemicals, or any other consumer or therapeutic application. You must be at least 18 years of age to purchase them. All products will be handled only by qualified and trained individuals.

By purchasing our products you represent and warrant that, from your own independent review and study, you are fully aware and knowledgeable about:

• The health and safety hazards associated with handling the products purchased.
• Industrial-hygiene controls necessary to protect workers from such hazards.
• The need to adequately warn of health and safety hazards associated with the products.
• Government regulations regarding use of and exposure to such products in your jurisdiction.

We reserve the right to limit sales or refuse to sell to unqualified customers. Mercia Research shall not be liable for special, incidental, or consequential damages, whether a customer’s claim is in contract, strict liability, or otherwise. In consideration of the sale of products to the customer, the customer agrees to indemnify and hold Mercia Research harmless from all claims, expenses, losses, and liability of any nature arising out of the customer’s handling and/or use of purchased product.

Any communication that leads us to believe these products will be used in a manner other than as intended may result in a refusal-to-sell alert being placed on your account. We will not tolerate misuse of the Site or the products sold through it.

15. International orders, prices and payment

Prices on the Site are quoted in pounds sterling (GBP) and are those displayed at the time of acceptance of an order by Mercia Research. Prices are subject to change without notice. Credit terms are at our sole discretion; unless we specify otherwise on the invoice, payment must be received before we accept the order. Buyers outside the UK are responsible for any import duties, taxes, or clearance fees levied at the destination.

16. Force majeure

Mercia Research shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including, without limitation, delays due to back-orders, mail delays, customs delays, or lost shipments. The customer is solely responsible to make alternative arrangements and bear any costs incurred.

17. Incorrect pricing or website errors

We reserve the right to cancel an order if an incorrect price was entered by accident, and to cancel or replace an order with a like-for-like item of equivalent value if a website error is identified.

18. Compliance with laws

By using this Site you agree to comply with all local, national and international laws, statutes and regulations that relate to your use of this Site and the products purchased through it. What is legal in one country may not be legal in another; it remains your responsibility to confirm legality at the destination.

19. Relationship of parties

Mercia Research and users of this Site are independent contractors. No agency, partnership, employment, or other relationship is created or intended to be created by use of the Site.

20. Governing law and jurisdiction

This Site is administered by Mercia Research from its offices in London, England. This Agreement is governed by the laws of England and Wales, and any dispute will be subject to the exclusive jurisdiction of the English courts.

21. Severability and entire agreement

If any part of this Agreement is found to be unenforceable, that part shall be limited or eliminated to the minimum extent necessary, and the remainder shall remain in full force and effect. This Agreement, together with the Privacy Policy and any terms expressly incorporated by reference, constitutes the entire agreement between you and Mercia Research relating to your use of the Site and supersedes any prior understanding.
